This program is expedited for a
reason. If you know the practice transition result you want
and want it done now, this is the program for you. You must have
an interested prospect and both doctors must be committed to
taking the necessary steps to develop the relationship. The
process by its very nature is intensive and expensive. It is not
therefore for everyone or every practice.
If time is very important to

who just wanted to formalize their practice transition
intentions. They wanted to have the benefit of the very
important but at times prolonged process condensed. Accelerated
Practice Transition / Succession is designed to provide a an
expedited format to create the associateship, partnership or
practice sale. Randall K. Berning co-authored the ADA
publications Associateships and also Valuing A Practice. He also
provided assistance with materials for the AAO Practice
Alternatives Binders and co-authored the AAO Guide to
Orthodontic Practice Valuation monograph. These publications
have withstood the test of time and countless doctors and their
advisors review. You can be guided by the same judgment he
provided in writing the publications and that has served
hundreds of dentists in his consultations for more than 23
years.
Accelerated Practice Transition
is timed for a full day, that evening including a working
dinner, and half of the next day. Generally the session takes
place at the national administrative offices of Berning &
Affiliates, Inc. As in all our programs we seek to gain a
consensus between doctors and then provide a detailed summary to
their advisors. Here's how it works:
Following
engagement of Berning & Affiliates and Prior to the Working
Session the following occur:

Relevant information on the
practice and both practitioners is secured by interview.

An appropriate questionnaire is
sent to each party. (different questionnaires if it is an
associateship, partnership or practice sale over time).

Practice valuation of the
practice is secured from our DDSValue Point service using
the capitalized earning method.

Practice accountant reviews the
valuation.

The
Working Session. Prior to the working session the doctors arrive
the evening prior to be ready for an early morning process meeting.
The morning session confirms the interview and practice information
and starts with the relevant terms. The practice valuation is
discussed and the start of the afternoon session begin a 4 - 7 hour
agenda driven meeting with the doctors (amount of time depends on
the complexity of the practice situation) during which the parties
decide each of the interrelated items necessary for these doctors
and this practice to structure the desired transaction / succession.
During the Working Session a cash flow designed to illustrate
the impact of certain terms is presented and discussed. In the late
afternoon and early evening a draft set of terms is prepared that
reflects the proposed relationship and further discussion occurs of
any open areas. The doctors participate in developing a timeline for
the practice transition transaction, the practice administration,
governance, marketing and related steps needed to be completed by
advisors. Overnight the draft terms, supporting cash flow and
timeline are finalized for the doctors to review the next morning.
Concluding Morning Session. The morning of the next day the
doctors review and make any minor modifications to their desired
intentions for the draft terms, supporting cash flow and timeline.
If the doctors are ready to proceed a draft set of documents is
prepared by our drafting affiliates for the review of their
attorneys for any local law issues and drafting completeness. We
will provide a checklist of items for the doctors and their advisors
to finalize the process and if necessary will help locate health
care attorneys, accountants, financial planners, estate planners and
virtually any other category of advisor to assist in the transition
/ succession planning.
Financial Arrangements
The fee $50,000, is inclusive for all items listed above (includes
practice valuation for a 1 doctor 1 location practice, additional
doctors / locations carry additional fees per our fee schedule). We
